Terms & Conditions

1. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract. When you create an account, you must provide accurate information and keep it updated. You are responsible for safeguarding your credentials and for activity under your account.

2. Free trials, plans, and billing

We may offer free or low‑cost trials and paid subscription plans. If you subscribe, you authorize us (and our payment processor) to charge your payment method for applicable fees and taxes. Unless otherwise stated, subscriptions auto‑renew until canceled. You can cancel at any time, effective at the end of the current billing period. Fees are generally non‑refundable except where required by law. We may change prices with reasonable notice; changes apply on renewal.

Payments are processed by third‑party providers (e.g., Stripe). We do not store full card data. You remain responsible for all charges incurred and for providing a valid payment method.

3. Your data & integrations

"Customer Data" means data you submit to the Service, including account information, content, and data accessed from integrations you connect (e.g., GA4, Shopify, Stripe, HubSpot). Between you and us, you retain ownership of Customer Data. You grant Analytico a non‑exclusive, worldwide, royalty‑free license to host, process, transform, store, transmit, and display Customer Data to provide and improve the Service, and to prevent or address service, security, or technical issues. We process Google user data in accordance with Google’s User Data Policy and our Privacy Policy.

You are responsible for:

• The accuracy, quality, and legality of Customer Data;
• Obtaining all rights and consents necessary to upload or connect Customer Data; and
• Complying with all applicable laws (including privacy, export, and data‑use rules of integrated services).

Upon termination or request, and subject to law, you may request deletion of Customer Data as described in the Privacy Policy.

4. Acceptable use

You agree not to:

• Use the Service for unlawful, infringing, or harmful purposes;
• Access or use the Service to build a competing product or to reverse engineer, decompile, or attempt to derive source code;
• Interfere with or disrupt the Service or its security (e.g., load testing without consent, scanning, scraping outside documented APIs);
• Misuse integrations or exceed API limits;
• Transmit malware, spam, or content that is defamatory, harassing, or violates third‑party rights.

We may suspend or terminate accounts that violate these Terms or pose security risks.

5. AI features & accuracy

Sofia provides AI‑generated outputs based on your prompts and connected data. AI outputs may be incorrect or incomplete and are provided for informational purposes only. You are solely responsible for evaluating outputs and for decisions made in reliance on them. We do not provide legal, financial, medical, or other professional advice.

6. Beta features

We may offer pre‑release or beta features. These are provided "as is" for evaluation and may be modified, suspended, or discontinued without notice. We may invite or restrict participation at our discretion.

7. Third‑party services

The Service may depend on or interoperate with third‑party services (e.g., Google, Stripe, HubSpot). Your use of those services is governed by their terms and privacy policies. We are not responsible for third‑party services and do not control their availability.

8. Intellectual property

The Service, including software, interfaces, workflows, and documentation, is owned by Analytico and its licensors. Except for the limited rights expressly granted, we reserve all rights. You grant us feedback about the Service; we may use it without restriction or compensation.

9. Confidentiality

Each party may access information that is confidential to the other party. The receiving party will use the same degree of care it uses to protect its own confidential information (no less than reasonable care) and will use confidential information only to perform its obligations under these Terms. Confidential information excludes information that is public through no fault of the receiving party or independently developed without use of the other party’s confidential information.

10. Privacy & data protection

Our Privacy Policy describes how we process personal data. Where required by law, we will enter into a data processing agreement with Customers as controllers for their end‑user data. For Google user data, we adhere to Google’s User Data Policy (including Limited Use).

11. Term, suspension, and termination

These Terms remain in effect while you use the Service. You may terminate at any time by canceling your subscription and closing your account. We may suspend or terminate your access for breach, security risks, non‑payment, or where required by law. Upon termination, your right to use the Service ends and we will handle Customer Data as described in the Privacy Policy.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE, UNINTERRUPTED, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANALYTICO OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ANALYTICO FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR USD $100, WHICHEVER IS GREATER. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

Some jurisdictions do not allow certain limitations; in such cases, the above limitations will apply to the greatest extent permitted.

14. Indemnification

You will defend, indemnify, and hold harmless Analytico and its affiliates from and against claims, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law or third‑party rights.

15. Modifications

We may modify these Terms to reflect changes to the Service or legal requirements. We will post updates with a new effective date and, if changes are material, provide additional notice. Continued use after updates constitutes acceptance.

16. Governing law & venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of laws principles. The parties submit to the exclusive jurisdiction of the provincial and federal courts in Toronto, Ontario.

17. Export & sanctions

'You represent that you are not located in, under the control of, or a national/resident of any country or party subject to applicable trade sanctions. You agree to comply with export control and sanctions laws when using the Service.

18. Notices

Notices to Analytico must be sent to info@asksofia.ai and to the postal address below. We may provide notices to you via the email associated with your account.

19. General

These Terms, together with the Privacy Policy and any order form/plan details, are the entire agreement between you and Analytico regarding the Service. If any provision is unenforceable, it will be replaced with a valid term that best reflects the parties’ intent, and the remainder will remain in effect. You may not assign these Terms without our consent; we may assign them as part of a corporate transaction. No waiver of any provision is effective unless in writing.
